Policy For Preservation of Documents and Records

 

POLICY FOR PRESERVATION OF DOCUMENTS / RECORDS

 

1. Objective

In terms of clause 9 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Regulations) the Board of Directors (the “Board”) of Punj Lloyd Limited (the “Company”) has adopted this policy at its meeting held on 6th November, 2015], for preservation of Documents/Records of the Company as per the prescribed Regulations.

 

This Policy shall be effective from 1st December, 2015.

 

2. Policy

 

Managing Director and Group CEO, the Chief Financial Officer and the Company Secretary of the Company, subject to applicable laws, shall be jointly and severally authorized to determine:

·        

The documents/records of the Company whose preservation shall be permanent in nature

·        

Statutory Registers / records and other documents with preservation period of not less than eight years after completion of relevant transactions or such period as may be prescribed under any relevant law applicable to the Company.

·        

Preservation period for any other documents / records of the Company

 

For branch offices of the Company situated outside India, the preservation period of documents / records shall be determined taking into consideration the relevant provisions of law of such countries with regard to preservation of documents where the branch offices of the Company are/were situated.

 

The aforesaid documents/records may be kept in electronic mode.
